Inspection and Claims: The Buyers should have the right 1o re-inspect the goods
within 30 days after the arrival of the goods at the port of
destination Should the quality and quantity be found not in confomity with the stipulation of the S/C, the
Buyers shall, supported by the surveyreports isued by the reognized public surveyor approved by the Sellers,
have the right to lodge claim against the Sellers However, should thebuyers not present any written
objection about the goods within 30days, it is considered the quality and quantity are conformable with the
stipulation of the S/C.
9．不可抗力：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负贵，但卖方应将发生的情况及时通知买方。 Force Majeure：The
Sellers shall not be liable for entire or partial non-execution of this Contract due to Force Majeure.
However, the Sellers mustadvise the Buyers on time of such ocurence.
10．违约责任：Liability for breach of contracts
(1)买方逾期支付货款的，卖方有权要求买方支付全部货款并按照中国的银行同期贷款利率的4倍向卖方支付利息。
(2)任何一方违反本合同约定的，守约方有权要求违约方赔偿守约方因此而造成的全部损失(其中包括守约方向违约方追索而产生的合理费用，包括但不限于诉讼费、保全费、律师费、公证费、查询费、鉴定费、审计费等)。
If either party breaches the provisions of this contract, The non-breaching party shall have the right to
require the breaching party to compensate thenon-breaching party for all losses caused thereby, and to pay
all reasonable expenses incurred by the non-breaching party for safeguarding rights(including but not
limited to legal costs, securily costs, legal fees, nolary fees, inquiry fees, appraisal fees, audit fees,
etc).
11．争议解决方式:任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会华南分会，按该会的仲裁规则进行仲裁。仲裁地点在中国广州市，仲裁裁决是终局的，对双方均有约束力。
Disputes Settlement: All disputes arising oul of performance of or relating to the Contract，shall be
submitted to the China International Economicand Trade Arbitration Commission for arbitration in accordance
with its Rules of Procedure. The Arbitration shall be held in Guangzhou China Thearbitral award is final and
binding upon both parties.
12．法律适用:本合同适用中华人民共和国法律，中华人民共和国法律没有规定的，适用《联合国国际货物销售合同公约》。冰合同使用的价格术语系根据国际商会《2010年国际贸易术语解释通则》。
Law Application: This contract shall be govemted by the laws ofhaReople's Republic of China If not stated in
the laws of the People's Republic of China, it shall apply to the United Nations Convention on Conteis or
theIntemational Sale of Gods. The Price Terms in the Contract are subject to the INCOTERMS 2010, the
publication of the Intemational ChaiBer ofCormmerce.
13．本合同有中英文两种版本，在文字解释上如有争议，以中文解释为准。 This Contract is made out in the Chinese and
English languages. Both versions are equally efective. The Chinese tex shal be regarded as theauthentic one
in case of conflict in the interpretation.
14．本合同共2份，自双方或双方书面授权的代表签字(盖章)之日起生效。本合同的变更与修改亦由双方(或双方授权的代表)签字(盖章)后生效。 This
Contract is made in 2 copies, coming into efect after being signed and chopped by both parties or the
authorized representatives of both partiesThe alteration and amendment to this Contract shall be in the same
manner.
